Terms of Service
Effective and last updated: October 25, 2026
These terms are an agreement between Ledgental (“we”, “us”) and the firm that creates a Ledgental account (“you”). By creating an account or using Ledgental, you agree to them. If you use Ledgental for a firm, you confirm you are allowed to accept these terms for it. Our Privacy Policy says what we do with the data. In these terms, “must” is a duty and “may” is a choice.
| Question | Short answer |
|---|---|
| What does it cost? | Nothing during the beta. Before we charge anything, we tell you the price at least 30 days ahead, and you pay only if you choose a paid plan. |
| Who owns the data? | You do. We use it only to run Ledgental for you. |
| Who is responsible for what you send clients? | You are: the documents, prices, invoices and emails sent in your firm's name, and having the right to send them. |
| What about e-signatures? | Ledgental keeps a record of each signature. You decide whether an electronic signature is right for each document and client. |
| What about QuickBooks? | Connecting a client's QuickBooks Online is optional and needs the client's permission. Ledgental only reads it. |
| What about your team? | Everyone you invite sees all of the firm's clients. Only the firm's owner changes firm settings and the team. |
| How do you leave? | Email us. We delete your data within 30 days. Download signed letters you need first. |
| What is our liability? | Limited to the greater of what you paid us in the last 12 months or US $100. |
| What if these terms change? | We tell you before a significant change takes effect, and the app asks you to accept it. |
What is Ledgental?
Ledgental is software for bookkeeping and accounting firms. With it you send clients proposals, engagement letters to sign electronically, transaction questions, document requests and invoices, each through a private link, and Ledgental emails reminders until the client finishes or your reminder limit is reached. It also keeps your clients, notes, files, logged time and recurring invoices, and lets your team work together. We add, change and remove features over time.
Does it cost anything?
Ledgental is in beta and free to use. Beta features change and can have bugs. Before we start charging, we tell you the price at least 30 days ahead, and you are charged only if you then choose a paid plan.
What do you agree to when you create an account?
- You must be at least 18 and use Ledgental for your business.
- You must give accurate information and keep your password safe. You are responsible for activity in your account.
- You must tell us at support@ledgental.com as soon as you think your account was used without permission.
Who owns the data, and what are you responsible for?
You own the content you put into Ledgental, including your clients' information, documents, transactions, answers and invoices (“Your Data”). You allow us to host, process and display Your Data only as needed to run Ledgental for you, as the Privacy Policy describes. You are responsible for:
- Having the right to upload Your Data and to send links and emails to your clients.
- Your own legal and professional duties to your clients, including privacy and data security rules that apply to your firm (for example, the FTC Safeguards Rule).
- Sharing client links only with the intended person, and turning off links you no longer need.
- Keeping your own copies of documents you need, such as signed engagement letters.
What does Ledgental send in your firm's name?
Link emails, reminders, weekly reminder emails, invoices and overdue invoice reminders go to your clients from “your firm via Ledgental”, with replies going to your firm, and only as you set them up. Every reminder has a link that lets the client stop them, and once a client stops them, they stay stopped. We limit how many client emails a firm can send each day. You must not use Ledgental to send marketing or to email people who aren't your clients or their contacts.
Who is responsible for the documents you send?
Ledgental gives you templates and tools, not legal, tax or accounting advice. The proposals, engagement letters and invoices you send are yours: you must review their content, prices and terms and make sure they fit your practice and the law in your state.
How do electronic signatures work?
When a client signs an engagement letter, Ledgental records the typed name and title, a drawn signature if the client draws one, the time, the consent text, the IP address, the browser details and a fingerprint of the letter. A signed letter can't be changed or deleted. You decide whether an electronic signature is right for each document and client, and you give any disclosures the law requires. We don't guarantee that a particular signature is enforceable.
If you turn on “Send the engagement letter automatically”, the person who sends a proposal agrees, when sending it, that their firm signature goes on the letter for the package the client accepts. The letter then goes to the client without anyone signing it again. If that person has left the team, or the letter isn't complete, Ledgental makes a draft letter instead.
How do invoices work?
Ledgental makes and sends your invoices and shows clients how to pay you, using the payment instructions you write. It doesn't take or process payments: your clients pay you directly. You are responsible for the amounts, any taxes on them, and recording when you are paid. Anyone who opens an invoice link sees its payment instructions.
What happens when you connect a client's QuickBooks?
Connecting a client's QuickBooks Online company is optional. Only your firm's owner can connect it or disconnect it directly, by signing in to Intuit; archiving or deleting the client also disconnects it. Ledgental reads the company's accounts and transactions and doesn't change anything in QuickBooks. The Privacy Policy lists what is read, who sees it and how long it is kept.
- You must have your client's permission to connect their QuickBooks company and to let Ledgental read it.
- Intuit's terms apply to your use of QuickBooks. What Ledgental shows is only as accurate as the books in QuickBooks, so check it before you rely on it.
- Your firm's owner can disconnect at any time on the client's page. Disconnecting deletes the lines Ledgental read, except those already on a question list, as the Privacy Policy describes.
How does your team use Ledgental?
The person who created the firm's account is its owner. The owner invites and removes people, changes firm settings, and can require two-step verification for everyone. Everyone on the team sees all of the firm's clients and the change log, which records who changed what. You are responsible for who you invite and for what they do in Ledgental.
What must you not do?
- Use Ledgental for anything illegal, fraudulent or misleading, or to send spam.
- Upload malware, or try to break, overload or get around the security of the service.
- Access other firms' data, or use another person's account without permission.
- Copy, resell or reverse engineer the service, except where the law allows it.
What if Ledgental is down, and how do you get help?
We work to keep Ledgental running and your data safe, but we don't promise it will always be available or free of errors. For help, email support@ledgental.com. We reply within two business days.
How do you close your account?
You can stop using Ledgental at any time and ask us to close your account by emailing support@ledgental.com. We may suspend or close an account that breaks these terms or puts the service or other users at risk. Where reasonable, we warn you first and give you a chance to download Your Data. After an account is closed, we delete Your Data as the Privacy Policy describes.
What do we not promise?
To the extent the law allows, Ledgental is provided “as is” and “as available”, without warranties of any kind, including warranties of merchantability, fitness for a particular purpose and non-infringement.
What is our liability?
To the extent the law allows, Ledgental isn't liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim related to Ledgental is limited to the greater of the amount you paid us in the 12 months before the claim or US $100.
What do you cover for us?
You must cover reasonable costs and losses we incur from a claim by a third party (including your clients) that arises from Your Data, the documents and emails you send, or your breach of these terms.
What happens when these terms change?
Each change gets a new date at the top and a line below. Before a significant change takes effect, we tell you by email or in the app, and the app asks each firm user to accept the new version. If you keep using Ledgental after that, the new terms apply.
| Date | What changed |
